When we draft or review a Statement of Work, there are three clauses we insist on including — not because we're anticipating trouble, but because they prevent it.

Scope and change control. Every project drifts a little. This clause makes sure that when it does, there's a clear, agreed process for approving extra work and adjusting timelines or fees — instead of an awkward conversation after the fact.

Payment and late terms. Clear invoicing schedules, defined payment windows, and a plainly stated consequence for late payment. It protects cash flow and removes any ambiguity about when money is owed and what happens if it isn't paid on time.

IP and confidentiality. Who owns what, from day one. This clause spells out ownership of deliverables and protects sensitive information shared during the engagement — for both sides.

Individually, these clauses seem like standard boilerplate. Together, they're what keep good working relationships good — by settling the questions before they become disputes.

Every business has a cash-flow gap.
